Terms of service.

Plain-language terms covering how projects run, what you pay, and what you own.

1. Who we are

Our Cradle LLC (“we”, “us”) is a limited liability company registered in the State of Hawaiʻi, operating a website development studio. These terms apply to this website and to services we provide, unless a signed agreement for a specific project says otherwise. Where a project agreement and these terms disagree, the project agreement wins.

2. Using this website

This site is informational. Prices shown are starting points and estimates, not offers of contract. A price becomes binding only when we put it in a written quote for your specific project and you accept it.

3. Projects and scope

Before work begins we provide a written quote setting out the scope, price, and timeline. Work outside that scope is quoted separately and is not started without your approval.

Timelines depend on receiving content, approvals, and account access from you. Delays on your side move the delivery date.

4. Payment

  • Unless agreed otherwise, half the project price is due before work begins and the balance on handover.
  • Monthly care plans are billed monthly in advance and can be cancelled at any time. Cancellation takes effect at the end of the paid month.
  • Third-party costs (domains, paid services you choose) are your responsibility and are passed on at cost.
  • We do not transfer ownership of project files or accounts until the balance is paid.

5. Ownership

On full payment, you own the finished website: the content, the code written for your project, and the accounts created for it. We transfer the code repository and the accounts to you, or continue to hold them on your behalf if you are on a care plan.

We keep ownership of our own reusable tools, components, and templates, and of any general knowledge and technique used on the project. Nothing in this section restricts us from doing similar work for other clients.

You keep ownership of everything you give us: your logo, text, photographs, and brand. You confirm you have the right to use what you send us.

6. Showing our work

We may show a completed project in our portfolio, including a screenshot, a link, and a description of the work. Tell us if you would rather we didn’t and we will not.

7. Revisions and fixes

Each build includes one round of revisions and 30 days of fixes after launch for anything that does not work as agreed. New features, new content, and changes of mind after that period are quoted separately, or covered by a care plan.

8. Your responsibilities

  • Provide accurate information and timely approvals.
  • Keep your own account credentials secure once they are transferred to you.
  • Make sure your website content is lawful and does not infringe anyone’s rights.
  • Obtain your own legal review of any terms, privacy policy, or disclosures published on your site.

9. Third-party services

Projects rely on services we do not control, such as domain registrars, hosting providers, form handlers, and payment processors. We configure them carefully, but we are not responsible for their outages, price changes, or policy changes.

10. Warranties and liability

We will perform our services with reasonable skill and care. Beyond that, this website and our services are provided as they are, without further warranties of any kind, so far as the law allows.

We are not liable for indirect or consequential losses, including lost profits, lost business, or lost data. Where we are liable, our total liability for any project is limited to the amount you paid us for that project.

Nothing here limits liability that cannot lawfully be limited.

11. Ending a project

Either of us may end a project in writing. If you end it, you pay for work completed to that point. If we end it, we refund anything paid for work not yet done and hand over what has been completed.

12. Governing law

These terms are governed by the laws of the State of Hawaiʻi, United States. Disputes go to the state or federal courts located in Honolulu, Hawaiʻi.

13. Changes

We may update these terms. The version in force for your project is the one published when you accepted your quote.
